These Terms & Conditions (“Terms”) govern your access to and use of the HQSilitech website (the “Site”) and, where applicable, the commercial relationship between you and HQSilitech (“HQSilitech”, “we”, “us”, “our”) including requests for quotation (“RFQ”), quotations, sample/prototype services, tooling, and production orders.

By using the Site, submitting an RFQ, placing an order, or otherwise engaging with HQSilitech, you agree to these Terms.

1) Definitions
  • RFQ: Request for quotation submitted by you via the Site, email, or other channels.
  • Quote/Quotation: Our commercial offer based on the information provided by you.
  • PO: Purchase Order issued by you and accepted by us.
  • Products: Custom or standard items produced/supplied by HQSilitech.
  • Tooling/Mold: Tooling used to manufacture Products, including molds, fixtures, and jigs.
  • Specifications: Drawings, CAD, samples, BOM, material requirements, tolerances, packaging, and acceptance criteria agreed by both parties.
  • Incoterms: International Commercial Terms (current Incoterms edition unless otherwise stated).
2) Website Use

You agree not to:

  • misuse the Site, attempt unauthorized access, disrupt services, or introduce malicious code;
  • submit false, misleading, or infringing information;
  • copy, scrape, or reproduce Site content for commercial use without our written permission.

We may suspend or restrict access to the Site if we reasonably believe there has been misuse.

3) Quotes, Validity & Order Formation
  1. Quote validity: Unless stated otherwise, quotations are valid for 15 days from the date issued.
  2. Information basis: Quotes are based on the information you provide (drawings, versions, materials, tolerances, quantity, packaging, tests, Incoterms, etc.). Missing/incorrect information may impact pricing, feasibility, or lead time.
  3. Contract formation: A Quote is not a binding contract. A binding agreement is formed only when we accept your PO in writing (or sign a separate contract), and specifications are confirmed.
  4. Changes: Any change to specifications (material, color, hardness, structure, surface finish, packaging, testing, etc.) may require re-quotation and may affect lead time.
4) Pricing, Taxes & Payment Terms
  1. Payment: Unless otherwise agreed in writing, payment terms are 50% deposit before production and 50% balance before shipment.
  2. Bank charges: Bank fees/charges are borne by the payer unless otherwise agreed.
  3. Taxes & duties: Prices typically exclude import duties, VAT/GST, and local taxes unless explicitly included in writing.
  4. Overdue amounts: Overdue payments may delay production/shipment and may incur reasonable late fees where permitted by law.
5) Tooling / Mold Terms
  1. Tooling fee: Tooling/mold fees are charged separately unless included in the Quote. Tooling fees are generally non-refundable once tooling work begins.
  2. Ownership: Where the customer pays the full tooling cost, the tooling is owned by the customer. HQSilitech will store and maintain the tooling at our facility unless otherwise agreed.
  3. Storage period: If there is no order activity for 24 consecutive months, we may request written instructions. If we do not receive instructions within a reasonable period, we may charge a storage/maintenance fee or dispose of the tooling in a commercially reasonable manner (where allowed by law).
  4. Tooling life & maintenance: Tooling life depends on design, material, and process conditions. Reasonable wear is expected. Preventive maintenance is included unless extraordinary repair is needed due to design changes, misuse, or abnormal conditions, in which case costs may be quoted separately.
6) Samples & Prototypes
  1. Samples/prototypes are intended for evaluation and engineering verification.
  2. Unless otherwise agreed, prototype processes/material batches may differ from mass production due to availability and process optimization.
  3. Mass production will be based on the final approved specifications (including signed sample/approval where applicable).
7) Quality Standard, Inspection & Acceptance
  1. Default inspection standard: Unless otherwise agreed, we follow a standard AQL inspection approach (commonly aligned with ANSI/ASQ Z1.4 or equivalent), with inspection checkpoints that may include Incoming (IQC), In-Process (IPQC), and Final/Outgoing (FQC/OQC).
  2. Optional inspection levels: Inspection level can be customized: standard AQL, tightened AQL, or 100% inspection for critical features (CTQ), subject to pricing and lead time adjustments.
  3. Customer requirements: If you require specific standards (e.g., material certificates/COA, compliance testing, special gauges, PPAP-like documents, dedicated control plans), you must specify them during RFQ/PO confirmation.
  4. Acceptance criteria: Products will be inspected against agreed specifications, approved samples (if any), and documented acceptance criteria.
8) Nonconformance, Claims & Remedies

To help us resolve issues efficiently, claims must include order/lot identification, quantity affected, and supporting evidence (photos/videos, measurements, test method, etc.).

Claim time limits (unless otherwise agreed in writing):

  • Shipping damage / quantity discrepancy / visible defects: within 7 calendar days after receipt.
  • Functional/fit issues discovered during normal inspection/assembly: within 30 calendar days after receipt.

If a valid claim is confirmed, remedies may include (at our option and subject to agreement): rework, replacement, credit, or partial refund.
HQSilitech is not responsible for defects caused by improper storage, handling, misuse, unauthorized modification, or assembly conditions outside the agreed requirements.

9) Delivery, Shipping & Risk Transfer (FOB)
  1. Default Incoterms: Unless otherwise agreed, shipments are FOB (named port to be specified in the PO/confirmation).
  2. Risk transfer: Under FOB, risk transfers when the goods are loaded on board the vessel at the named port (per Incoterms).
  3. Lead time: Lead times are estimates unless confirmed in writing. Delays caused by force majeure, carrier congestion, customs, or changes in specifications may extend delivery dates.
  4. Partial shipments: Partial shipments may occur if agreed or reasonably required to meet schedules.
10) Compliance, Materials & Intended Use
  1. You are responsible for informing HQSilitech of the intended use and any regulatory requirements (food contact, medical, child safety, REACH/RoHS, etc.) at the RFQ stage.
  2. Any compliance statement applies only to the specific project scope and documentation agreed in writing.
  3. HQSilitech does not guarantee suitability for a particular purpose unless explicitly agreed in a signed document.
11) Intellectual Property (IP) & Customer Content
  1. Customer-provided IP: You represent that you own or have permission to use any drawings, logos, trademarks, designs, and other materials you provide, and that manufacturing the Products will not infringe third-party rights.
  2. HQSilitech IP: All Site content (text, graphics, layout) and our proprietary know-how remain our property unless otherwise stated.
  3. Use of your brand assets: We will not publicly use your logo/product images for marketing without your written permission (unless required by law or for internal production records).
12) Confidentiality

If a separate NDA is signed, it will govern confidentiality. If no NDA is signed, both parties agree to keep confidential information (drawings, pricing, specifications, non-public processes) confidential and use it only for the purpose of the business relationship.

13) Limitation of Liability

To the maximum extent permitted by law:

  1. HQSilitech will not be liable for indirect, incidental, special, or consequential damages, including lost profits, business interruption, or loss of goodwill.
  2. Our total liability arising out of or relating to the Products or services is limited to the amount paid for the specific affected order.
14) Force Majeure

Neither party will be liable for failure or delay caused by events beyond reasonable control, including natural disasters, war, strikes, epidemics, government actions, or logistics disruptions. Delivery schedules will be adjusted accordingly.

15) Third-Party Links

The Site may contain links to third-party websites. We are not responsible for their content, security, or practices.

16) Changes to These Terms

We may update these Terms from time to time. The “Last updated” date will reflect changes. Continued use of the Site after changes means you accept the updated Terms.

17) Governing Law & Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China (excluding conflict of law rules).
Any dispute arising out of or in connection with these Terms shall be submitted to arbitration in Dongguan (Dongguan Court of International Arbitration / SCIA) in accordance with its rules in effect at the time of application. The arbitration award shall be final and binding.
